1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the MpactNet websites, CRM, and donor application (the "Services") provided by MpactNet ("MpactNet," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Services

MpactNet provides software that helps nonprofit organizations manage donor relationships and accept donations, and provides donors with an application to give and track their support. We may update, improve, or modify the Services over time.

3. Accounts and eligibility

• You must provide accurate information and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• You must be at least the age of majority in your jurisdiction (or have appropriate consent) to use the Services.
• Nonprofit accounts must be operated by, or on behalf of, a legitimate charitable or nonprofit organization.

4. Donations and payments

Donations are processed through Stripe Connect. By making or accepting payments, you also agree to the Stripe Connected Account Agreement and Stripe Services Agreement, as applicable.

• Donors authorize the charge they submit, including any optional tip or fee contribution they choose to add.
• Nonprofits are responsible for the accuracy of their fundraising representations, for issuing any required tax receipts, and for complying with applicable charitable-solicitation and tax laws.
• Platform fees. MpactNet charges subscription fees for the CRM and a transparent per-transaction platform fee, as described at sign-up. Payment-processing fees are charged by Stripe.
• Recurring gifts, pledges, and memberships continue until cancelled in accordance with their terms. See our Refund & Cancellation Policy.

5. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent, or deceptive purpose, including misrepresenting a charitable solicitation;
• Upload content that infringes others' rights or violates law;
• Attempt to access data belonging to other organizations or users;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or their security;
• Use the Services to send spam or unsolicited communications in violation of applicable law; or
• Reverse engineer or resell the Services except as permitted by law.

6. Your content and data

You retain ownership of the content and data you submit. You grant MpactNet a limited license to host, process, and display that content solely to provide and improve the Services. Our handling of personal information is described in our Privacy Policy.

7. Intellectual property

The Services, including all software, design, and trademarks, are owned by MpactNet or its licensors and are protected by law. These Terms do not grant you any right to our intellectual property except the limited right to use the Services.

8. Subscriptions, suspension, and termination

Subscriptions renew according to the plan you select until cancelled. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Services or other users. You may stop using the Services at any time; certain records may be retained as required by law.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-assisted features may produce inaccurate output; you are responsible for reviewing AI-generated content before relying on it.

10. Limitation of liability

To the maximum extent permitted by law, MpactNet will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to MpactNet in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless MpactNet from claims, damages, and expenses arising out of your use of the Services or your violation of these Terms or applicable law.

12. Changes to these terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where appropriate, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.
